Warranty, Terms of Agreement, and Disclaimer

DISCLAIMER AND TERMS OF AGREEMENT

GENERAL TERMS AND CONDITIONS
All orders for services placed with Pet Care Business Consulting LLC shall be subject to the following terms and conditions:
1. BILLING TERMS AND PAYMENT
All amounts due for services performed by Pet Care Business Consulting LLC are payable online at http://www.petcarebusinessconsulting.com . Visa and MasterCard are accepted. All services are Due according to the foloowing payment schedule unless the client has been granted credit terms by Pet Care Business Consulting LLC. The Client who has been granted credit agrees to Pay the invoice in full within the terms of the invoice. Pet Care Business Consulting LLC has the option to require a down payment from the Client prior to furnishing any goods or services. PET CARE BUSINES CONSULTING LLC is responsible for collection of sales tax on all sales made in the state of Arizona unless the purchaser has furnished a valid resale or tax exemption certificate on file with PET CARE BUSINES CONSULTING LLC. All invoices given credit must be paid within agreed upon time or a 1/2% (18% per annum) will be assessed on all past due invoices.
2. DELIVERY
PET CARE BUSINES CONSULTING LLC will make every reasonable effort to deliver projects at the Clients requested due time. PET CARE BUSINES CONSULTING LLC shall not be held liable for delays from causes beyond its reasonable control.
3. ATIORNEY’S FEES, INTEREST, LIEN AND SECURITY INTEREST
the event the full amount of the total invoice pursuant to this Agreement is not paid in full within the terms herein, Client agrees to pay interest on the unpaid balance at the rate of one and one half percent (1-1/2%) per month or eighteen percent annually (18% per annum). If Client breaches any promise or agreement ‘contained in this Agreement, Client agrees to pay all costs and expenses (including reasonable attorneys’ fees and collection fees) incurred by Pet Care Business Consulting LLC  to enforce the terms and conditions of this Agreement. PET CARE BUSINES CONSULTING LLC shall have a lien on and shall have the right to retain all CD-ROM, hard copies, disks and any oilier product delivered to Client and on any original medium given to PET CARE BUSINES CONSULTING LLC from Client shall be retained b y Pet Care Business Consulting LLC until all of the Client’s outstanding invoices are paid in full. Furthermore, until payment in full has been made, PET CARE BUSINES CONSULTING LLC reserves a security interest under the Uniform Commercial Code in the CD-ROM or other medium and/or resulting production.
4. PATENTS, COPYRIGHTS, AND TRADEMARKS
Client represents and warrants to Pet Care Business Consulting LLC  that the Client has full authority to enter into this Agreement and to execute all documents contemplated hereby, and the Client’s and PET CARE BUSINES CONSULTING LLC’s execution, delivery and performance of this Agreement will not violate any patent, copyright, trademark or the provisions of any agreement to which the Client is a party or by which the Client is bound. Client will defend at its own cost any action brought against Pet Care Business Consulting LLC  to the extent any action is based on a claim that the data or medium Client provides Pet Care Business Consulting LLC  will violate any United States patent, copyright, trademark; and the Client will indemnify and pay all costs, expenses and damages awarded against Pet Care Business Consulting LLC  for any infringement. PET CARE BUSINESS CONSULTING LLC shall have no liability whatsoever to Client with respect to any claim, patent, copyright. And or trademark infringement.

Time of Completion. Consultant and Client agree to work together to complete the consulting agreement on a timely basis taking into account necessary revisions. However, unless specifically extended in writing as an addendum to this agreement, this contract will terminate upon presentation of the third draft of the business plan or three months after the effective date of this agreement, whichever occurs first, and all balances due the Consultant will be due and payable at that time.

Compensation. The Company shall pay to Consultant the Projected cost for consulting services as agrred. All fees are paid in advance. If credit is allowed, then the balalnce will payable in full according to the attached payment schedule.

Payment Schedule:

Minimum Fee - The minimum fee due for any Pet Care Business Consulting project, payable according to the following schedule
Retainer - The amount due upon entering into this Agreement:
Monthly Payment of Consulting Servcies - starting one month after the agreeemnt is initiated and after which will continue for an additional monthly payment for a total of fees due or at the discretion of the consultant until project is completed with additional monthly payments made in advance each month.

All payments are non-refundable..

Term. This Agreement shall be effective as of Date of payment of the retainer via the online store, and shall continue in full force for three months and thereafter on a Month to month basis Until the project is completed. However, the consultant is not obligated to continue providiing consulting services beyond a three month period. The Company and Consultant may negotiate to extend the term of this Agreement and the terms and conditions under which the relationship shall continue.

Termination.  Either Party may terminate this agreement after giving written notice. However, if the Client terminates the agreement prior to the completion of the proposed services, or before three months have elapsed since the intitiation of consulting services, the company will immediately upon termination of the agreement  pay  the unpaid balance of all fees to the Consultant . no refunds of any kind will be granted for early termination of services.

No Warranty or Guarantee of Business Performance by Consultant
Consultant agrees to use current pet care industry statistics which are readily available during the time duration of this consulting agreement for inclusion into the business documents. The pet care industry specific information which is readily available at the time of preparation of the business documents is believed to be reliable, but the use of said statistical information and incorporation of said statistics into financial forecasts cannot be construed as a guarantee of revenue forecasts presented in the business documents prepared for this project, nor a warranty of business performance by the consultant.  Furthermore, the company holds the consultant harmless for the content delivered to the company as the consultant has included forward looking financial forecasts prepared at the direction of the company using occupancy statistics and rate schedules recommended by the company. Furthermore, the consultant has no control over the management expertise of the company, the company’s’ ability to recruit and retain suitable employees, the company’s ability to develop a client base suitable for the success of the company, the use of services offered by the company by the clientele, changing economic conditions, fluctuating interest rates, pet care service utilization in general, or business occupancy rates of pet services proposed for the project described in this contract. The company holds the consultant harmless for any non performance by the company for any reason. The presentation developed by the Consultant for and at the direction of the company contains general information only and  is not, by means of this presentation rendering accounting, business, financial, investment, legal, tax, or other professional advice or services. This presentation is not a substitute for such professional advice or services, nor should it be used as a basis for any decision or action that may affect your business. Before making any decision or taking any action that may affect your business, you should consult a qualified professional advisor. The Consultants, its affiliates and related entities shall not be responsible for any loss sustained by any person who relies on this presentation.
